Frozen Semen Sales Contract

This sales contract is made this _________________ day of ____________________ 2011 by and between Carol Krauss of Mariposa Semen Import Service, hereinafter referred to as “seller” and the person listed below hereinafter referred to as “purchaser”.

• Seller agrees to sell frozen semen doses as requested above by the purchaser.
• Purchaser agrees that no semen shall be shipped until payment is received in full and a FedEx Account number has been provided.
• Semen will be shipped via FedEx and a tracking number will be provided to the Purchaser. 
• Seller takes no responsibility for any damage, loss, or injury resulting from the handling of liquid nitrogen.
• Both parties agree that Mariposa Semen Import Service is a frozen semen import service and makes no claims as to the viability, fertility, or freedom from disease of any of the frozen semen. The purchaser understands that there is NO LIVE FOAL GUARANTEE.
• Mariposa Semen Import Service assumes no responsibility, only to deliver the semen in viable condition at the time of delivery, and that the product is received in a properly cold shipping tank in apparent good condition. Sale is final when the semen shipment has been accepted upon delivery.
• The purchaser is responsible for ensuring their mare(s) are in sound breeding condition as determined by a qualified veterinarian. 
• Purchaser agrees to return the shipping contain via prepaid FedEx within 48 hours of its receipt along with the signed form acknowledging receipt of the transported semen.  If the tank is not shipped for return within 48 hours, the purchaser agrees to pay a $50 per day delinquent fee until the tank is returned.
• Any loss or damage to the shipping container is the responsibility of the purchaser.  Compensation for loss and/or damage will be billed to the purchaser up to the sum of $900.
• This contract shall be interpreted in accordance with the laws of the Province of Alberta and its validity and administration shall be governed by said laws. 
• Once signed by both parties, this contract constitutes agreement between the parties and this agreement may not be amended or modified.
• This contract may not be assigned or transferred by the purchaser. 
• In the event of breach of this contract or any part thereof, by the purchaser, the purchaser agrees to pay and any all reasonable legal fees or expenses of any kind incurred, or which may be incurred by or on behalf of the seller in the enforcement of this agreement. 
• Breeding Certificate will be sent with the shipment along with the thawing protocol.  The purchaser and their veterinarian are responsible for completing and submitting the Breeding Certificate.  **Please attach a copy of the mare’s registration papers.
• Mariposa Semen Import Service strongly recommends the purchaser have their mare(s) bred using a qualified and experienced veterinarian with considerable experience working with frozen semen and artificial insemination procedures and who has access to an ultrasound machine.
